Terms of Service

These Terms of Service ("Terms") govern your use of MyShifts, a staff scheduling service operated by Adab LLC ("Adab", "we", "us"). By creating an account or using MyShifts, you agree to these Terms. If you use MyShifts on behalf of a hospital, clinic or other organization (your "Organization"), you agree to them on its behalf and confirm you are authorized to do so.

1. The service

MyShifts lets organizations collect staff availability, build and approve schedules, and manage shift swaps, open shifts and related messages. Access is by invitation from an Organization's administrator or manager. Features may change as we improve the service.

2. Accounts

• You must provide accurate information and keep your password confidential. You are responsible for activity under your account.
• Accounts are personal. Do not share them or let others sign in as you.
• Your Organization controls your account, including your unit, role and access, and may remove your access at any time.
• Tell us right away at the address below if you believe your account has been used without permission.

3. Acceptable use

You agree not to:

• copy, modify, distribute, sell, rent or create derivative works of MyShifts or any part of it;
• reverse engineer, decompile or try to discover the source code, structure or underlying ideas of the service, except where the law expressly allows it;
• access or try to access data, units or accounts you are not authorized to see, or get around any security or access control;
• use bots, scrapers or automated means to access the service, or interfere with or overload it;
• use MyShifts to build a competing product or service;
• upload unlawful, harmful or misleading content, or use the service in violation of any law or your Organization's policies.

4. No patient information

MyShifts is a workforce scheduling tool. It is not a medical record and is not designed to store patient health information. Do not enter patient names or other protected health information in notes, messages or any other field.

5. Scheduling decisions

MyShifts helps people organize schedules. Your Organization remains solely responsible for staffing decisions, safe staffing levels, labor and overtime rules, union agreements, licensure and credentialing, payroll and compliance with applicable law. Warnings and suggestions in MyShifts are aids only and may not reflect every rule that applies to you.

6. Your data

Your Organization owns the schedule and staff data it and its users put into MyShifts ("Customer Data"). You give Adab permission to host, process and display Customer Data only as needed to provide, secure and support the service. Our Privacy Policy explains how we handle personal information.

7. Our property

MyShifts, including its software, designs, text, graphics, workflows and the MyShifts name and logo, is owned by Adab LLC and protected by copyright, trademark and other laws. MyShifts™ is a trademark of Adab LLC. Except for the limited right to use the service under these Terms, no rights are granted to you. If you send us feedback or suggestions, we may use them without obligation to you.

8. Suspension and termination

We may suspend or end access to MyShifts if you breach these Terms, if required by law, or to protect the service or other users. Your Organization's agreement with us, if any, governs termination of its subscription and the return or deletion of Customer Data.

9. Disclaimers

MyShifts is provided "as is" and "as available." To the fullest extent permitted by law, Adab disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee the service will be uninterrupted, error-free or that messages and emails will always be delivered.

10. Limitation of liability

To the fullest extent permitted by law, Adab will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of MyShifts. Adab's total liability for any claim relating to the service will not exceed the amount paid to Adab for the service in the twelve months before the claim, or one hundred US dollars if nothing was paid.

11. Changes to these Terms

We may update these Terms. If a change is significant, we will give notice in the app or by email. Continuing to use MyShifts after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the state in which Adab LLC is organized, without regard to its conflict-of-law rules, and applicable US federal law. If your Organization has a separate written agreement with Adab, that agreement controls where it conflicts with these Terms.
